LifeQuest World Corp. (OTCID: LQWC) announced the completion of its acquisition of an established Pacific Northwest waste management equipment company, adding approximately $3.5 million in annual revenue and creating a diversified environmental services platform. The transaction, structured as an all-equity acquisition with no cash consideration, closed effective June 12, 2026, and transforms LifeQuest from a development-stage holding company into a revenue-generating, multi-subsidiary enterprise spanning commercial waste management, equipment rental, and decentralized wastewater treatment.

Max Khan, Chief Executive Officer of LifeQuest, stated, "This acquisition is a transformational step for LifeQuest. The Acquired Business brings immediate, established revenue, a loyal Pacific Northwest customer base, and a proven team to our platform." The Acquired Business, a multi-decade operator serving businesses, institutions, and municipalities across Oregon, Washington, Idaho, and Montana, provides equipment sales, rentals, service, and maintenance contracts. For fiscal year 2025, the business generated combined revenues of approximately $3.5 million and reported a normalized pre-tax income of approximately $211,000, excluding non-recurring charges such as a $94,200 inventory write-down and $121,000 in expensed capital equipment.

LifeQuest now operates three wholly-owned subsidiaries: BioPipe Global Corp., a decentralized wastewater treatment technology company, and the two Oregon corporations comprising the Acquired Business. BioPipe's flagship technology, the Biopipe STP, is a patented biological wastewater treatment system that produces no sludge and requires no chemicals, with approximately 52 treatment plants installed across 11 countries. The combined platform addresses global environmental challenges in clean water and sustainable waste management, serving a market estimated to reach over $211 billion by 2025.

Management outlined a strategic roadmap following the acquisition, including engaging a PCAOB-registered auditor for a consolidated audit, filing a Form S-1 or Form 10 with the SEC for full reporting status, seeking shareholder approval for a 1-for-40 reverse stock split, and applying for listing on the OTCQB Venture Market. "The revenue foundation that the Acquired Business provides is essential for a credible SEC registration and OTCQB uplisting process," Khan added.

The Acquired Business held $581,665 in deferred revenue as of December 31, 2025, providing revenue visibility for fiscal 2026. Its balance sheet reflects total assets of approximately $1.9 million and total equity of about $927,000, with no long-term debt. LifeQuest intends to use the acquisition as a catalyst to enhance transparency and investor confidence through SEC registration and uplisting to a more visible trading platform.
